Clarification on the sale of the Government's stake in Viva Armenia

The Government of the Republic of Armenia reports: “Regarding the information circulating in the press about the Government selling its stake in Viva Armenia for $50 million, we would like to clarify that at the Government’s meeting on August 7, 2025, the transaction to sell the Government’s stake in Viva Armenia was not approved, but rather, by the Government’s decision, it was authorized to conclude a put option agreement on behalf of the Government with the other shareholder of Viva Armenia, Fedilco Group Limited. Under the option agreement, the Government receives the right (but not the obligation) to demand at any time until May 15, 2028, that the other shareholder purchase the 110,000 common shares owned by the Government for $50 million (subject to the conditions set forth in the annex to the decision being met). In other words, the decision is about reserving a right to the Government, the question of whether or not to exercise it will be decided by the Government itself, according to its expediency."
